8. Showcase’s offer advertisers editorial to increase the impact and effectiveness of the advertiser’s message. The is most commonly used to elaborate on the message of the accompanying ad, draw attention to the unique selling points of the advertised product or service, give some company background information, or even as a space for satisfied customer editorials. Newsweek retains full editorial control over all submissions and reserves the right to edit the submissions for content and length whenever deemed necessary. Newsweek is not obliged to inform the advertiser if changes have to be made to editorial submissions.

11. The Prepayment policy is a uniform, across the board policy that we apply to every advertiser. Ads can only be run when the confirmation form and payment has been received. Payment must be received by edition closing date for the ad to run. Payment can be made by credit card, check or bank transfer. Pre payment is necessary because of the large volume of new advertisers we process on weekly basis.

13. NEWSWEEK MARKETPLACE & SHOWCASE:
 CONTRACT TERMS AND CONDITIONS

GENERAL CONDITIONS:
All orders are accepted subject to the following terms and provisions and will be executed to the best of the ability of Mongoose Atlantic Inc. which is the representative firm representing Newsweek “The Publisher” on their Marketplace / Showcase section. These conditions contain the entire and complete agreement among Mongoose Atlantic Inc., the advertiser, and the agency. No conditions, printed or otherwise, appearing on contracts, orders or copy instructions that conflict with this document or the Publisher’s policies shall be binding on the Publisher. Orders that contain rates that vary from the original rate shall be binding on the Publisher and may be inserted and charged at the actual schedule of rates set forth herein. Mongoose Atlantic Inc. shall be subject to no liability whatsoever for any failure to print, publish or circulate all of or any part of any issue or issues or otherwise fulfil an order because of accidents, fires, strikes, work stoppages, national emergencies, war (declared or undeclared) or other circumstances, whether of like or different nature, which are beyond Mongoose Atlantic Inc.’s control. Advertiser and its agency shall be jointly and severally liable for charges for all insertion orders, and for any additional charges incurred by Mongoose arising out of advertiser’s and/or agency’s failure to deliver furnished inserts or artwork pursuant to Mongoose’s specifications. If Mongoose Atlantic Inc. is unable to publish the furnished inserts as a result of such failure to comply, advertiser and agency shall remain liable for the space cost of such insert. In the event that any provision of this rate card shall is held by a court of competent jurisdiction to be invalid, illegal, or otherwise unenforceable. The validity, legality and enforceability of the remaining provisions shall in no way be affected or impaired thereby. This rate card shall be governed and construed in accordance with the laws of the State of New York without regard to its principles regarding conflicts of laws.

INSERTION/CONFIRMATION ORDERS:
Insertion and Confirmation orders shall be binding after closing on advertisers and agencies placing orders after 5:00 p.m. (Eastern Time) on the relevant closing date; no cancellations are accepted after closing dates. Mongoose Atlantic Inc. disclaims all responsibility for copy changes made after closing dates without written agreement from Mongoose Atlantic Inc..

FURNISHED INSERTS:
Mongoose Atlantic Inc. is not responsible for the errors or omissions in, or the production quality of, furnished inserts. Advertiser and/or agency shall be responsible for any additional charges incurred by the Publisher arising out of the advertiser’s and/or agency’s failure to deliver furnished inserts pursuant to the Publisher’s specifications.

COPY ACCEPTANCE:
Mongoose Atlantic Inc. reserves the unrestricted right to reject or cancel any advertising at any time. Mongoose Atlantic Inc. shall be subject to no liability whatsoever for its rejection or cancellation of any advertisement. Advertisements simulating Newsweek editorial matter in appearance or style, that are not immediately identifiable as advertisements, are not acceptable. Newsweek/Mongoose Atlantic Inc. reserves the unrestricted right to require any advertising matter to be labelled “advertisement” if Newsweek/Mongoose Atlantic Inc. deems it advisable. Newsweek/Mongoose Atlantic Inc retains editorial control over all submissions and reserves the right to alter or exclude advertiser text if the content is deemed unsuitable.

ADVERTISING RESPONSIBILITY:
All advertisements are accepted and published on the joint and several representation of the agency and the advertiser that they are each authorized to publish the entire contents and subject matter thereof. In consideration of the publication of advertisements, the advertiser and the agency jointly and severally, shall unconditionally indemnify and save Newsweek/Mongoose Atlantic Inc., its parent and their directors, officers, agents and employees harmless from and against any and all loss, liability and expense (including reasonable attorney’s fees) suffered or incurred by the reason of any claims, proceedings or suits for libel, violation of right of privacy. Plagiarism, copyright infringement or any other claims or suits based on the contents or subject matter of such advertisements. The advertiser and agency shall provide Newsweek/Mongoose Atlantic Inc. with all assistance requested by Newsweek/Mongoose Atlantic Inc. and otherwise cooperate with Newsweek/Mongoose Atlantic Inc. in connection with the defense of any of the foregoing claims, proceedings, or suits. Newsweek/Mongoose Atlantic Inc. shall have sole authority to (I) choose outside counsel to defend any claim, suit, or proceeding and (ii) control and manage such outside counsel, the litigation and any settlement. Neither the advertiser nor its agency may settle any lawsuits relating to any advertisement without the prior written consent of Newsweek/Mongoose Atlantic Inc. The liability of Newsweek/Mongoose Atlantic Inc. for any act, error, or omission for which it may be held legally responsible shall not exceed the cost of the space ordered or occupied by the advertisement that is the basis of Newsweek’s/Mongoose Atlantic Inc.’s liability. Newsweek/Mongoose Atlantic Inc. shall not in any event be liable for consequential damages, including lost income or profits. Newsweek/Mongoose Atlantic Inc. disclaims responsibility for errors in key numbers or the type set by Newsweek/Mongoose Atlantic Inc.

OMISSION OF INSERTION:
Unintentional or inadvertent failure by Newsweek to print, publish or circulate advertising matter invalidates the insertion order for such matter, but shall not constitute a breach of contract or affect any earned discount.

PROOF OF INSERTION:
One copy of each issue containing a Marketplace / Showcase advertisement shall be supplied with invoice.

CONTRACT YEAR:
A contract year is a maximum of 52 consecutive weeks. Advertising must be inserted within a 52 consecutive week period to earn volume discounts. Cancellations of any portion of a contract automatically nullifies any rate protection. If a space discount has been deducted in paying prior insertions on a cancelled contract. The advertiser and agency shall reimburse Newsweek/Mongoose Atlantic Inc. for any difference between the rate paid and the rate earned.

FIXED POSITIONING:
All advertising position clauses shall be treated as requests. All restrictions including, without limitation, positioning, separations, facing editorial adjacencies or other stipulations are at sole discretion of Newsweek/Mongoose Atlantic Inc..

UNAUTHORIZED USE OF NEWSWEEK’S NAME:
In consideration of the review for acceptance of any advertising for publication, the agency and advertiser shall not and each agrees not to make any promotional or merchandising references to Newsweek/Mongoose Atlantic Inc. without the prior written permission of Newsweek/Mongoose Atlantic Inc. for each such use.

RATE CHANGES:
Newsweek/Mongoose Atlantic Inc. reserves the right to change its advertising rates at any time. Announcements of any changes in rates shall be made at least four weeks in advance of the issue date of the first issue to be affected by such new rates.

QUOTED RATES:
Official advertising rates for Newsweek International’s Atlantic, Asia and Latin American Editions are quoted in US dollars. If changes in the international money markets substantially affect the value of the US dollar, the Publisher may adjust advertising rates for any issue not yet published.

DISTRIBUTION MARGIN:
A 5% margin shall be allowed in the circulation and distribution of all less-than-national editions as well as for split runs, insert cards and other special units.

PUBLICATION (ISSUE) DATES:
Copies on sale one week prior to issue date.

CANCELLATION POLICY:
Advertisements must be cancelled in writing five weeks before edition date, otherwise the full advertisement rate will be due. A series of advertisements that are cancelled before the final insertion will be liable to pay an additional charge based on the discount the advertiser when signing up for a number of insertions.

INVOICING/PAYMENTS:
All advertisers will be invoiced in US dollars. Invoices are rendered on the Monday coinciding with the publications date, and are payable on the due date indicated by the invoice. Ad delinquency charge of 1.5 percent per month (but not more than the lawful maximum may be made on any amount outstanding beyond the due date indicated on the invoice. Any credits earned must be taken within 12 months of Newsweek/Mongoose Atlantic Inc.’s notification.

CURRENCY:
Payments should be made in US dollars.
